Please read these Terms and Conditions carefully before using these CNA Sites.

I. Acceptance of the Website Terms and Conditions of Use

These terms and conditions of use for www.cna-aiic.ca, www.canadian-nurse.com, www.nursingcareerscanada.ca, www.mycna.ca, constitute a legal agreement and are entered into by and between you and Canadian Nurses Association (“CNA”, “we”, “us”, “our”). The following terms and conditions, together with any documents and/or additional terms they expressly incorporate by reference (collectively, these “Terms and Conditions”), govern your access to and use of, including any content, functionality, and offered on or through www.cna-aiic.ca, www.canadian-nurse.com, www.nursingcareerscanada.ca, www.mycna.ca (the “CNA Sites”).

BY USING THE WEBSITE, YOU ACCEPT AND AGREE TO BE BOUND AND COMPLY WITH THESE TERMS AND CONDITIONS.

II. Modifications to the Terms and Conditions and to the CNA Sites

CNA reserves the right in its sole discretion to revise and update these Terms and Conditions from time to time. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of the CNA Sites. You agree to periodically review the terms and conditions in order to be aware of any such modifications and your continued use shall be your acceptance of these.

The information and material on the CNA Sites may be changed, withdrawn, or terminated at any time in our sole discretion without notice. CNA will not be liable if, for any reason, all or any part of the CNA Sites is restricted to users or unavailable at any time or for any period.

III. Index

The contents of the CNA Sites, such as text, graphics, images, information obtained from CNA licensors and other material (“Content”) contained on the CNA Sites is for informational purposes only.

IV. Your Use of the CNA’s Sites and Account Set-Up and Security

The security of your personal information is very important to us. We use physical, electronic, and administrative measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, and disclosure.

The safety and security of your information also depends on you. Users are responsible for obtaining their own access to the CNA Sites. Users are required to ensure that all persons who access the CNA Sites through a user's internet connection are aware of these Terms and Conditions and comply with them. The CNA Sites, including content or areas of the CNA Sites, may require user registration. It is a condition of your use of the CNA Sites that all the information you provide on the CNA Sites is correct, current, and complete.

Unfortunately, the transmission of information via the Internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted to our CNA Sites. Any transmission of personal information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the CNA Sites.

Your provision of registration information and any submissions you make to the CNA Sites through any functionality such as applications, e-mail, message boards, personal, or interest group web pages, profiles, forums or bulletin boards (collectively, “Interactive Functions”) constitutes your consent to all actions we take with respect to such information consistent with our Privacy Policy, found at https://cna-aiic.ca/en/home/protection-of-personal-information

Any username, password, or any other piece of information chosen by you, or provided to you as part of our security procedures, must be treated as confidential, and you must not disclose it to any other person or entity. You must exercise caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. You understand and agree that should you be provided an account, your account is personal to you and you agree not to provide any other person with access to the CNA Sites or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you logout from your account at the end of each session. You are responsible for any password misuse or any unauthorized access.

We reserve the right at any time and from time to time, to disable or terminate your account, any username, password, or other identifier, whether chosen by you or provided by us, in our sole discretion for any or no reason, including any violation of any provision of these Terms and Conditions.

You are prohibited from attempting to circumvent and from violating the security of the CNA Sites, including, without limitation: (a) accessing content and data that is not intended for you; (b) attempting to breach or breaching the security and/or authentication measures which are not authorized; (c) restricting, disrupting, or disabling service to users, hosts, servers, or networks; (d) disrupting network services and otherwise disrupting CNA Sites owner's ability to monitor the CNA Sites; (e) using any robot, spider, or other automatic device, process, or means to access the CNA Sites for any purpose, including monitoring or copying any of the material on the CNA Sites; (f) introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; (g) attacking the CNA Sites via a denial-of-service attack, distributed denial-of-service attack, flooding, mailbombing, or crashing; and (h) otherwise attempting to interfere with the proper working of the CNA Sites.

V. Intellectual Property Rights and Ownership

You understand and agree that the CNA Sites and the entire contents, features, and functionality, including, but not limited to, all information, software, displays, graphics, photographs, images, video, audio, documents, broadcast, design, presentation, website layout, selection, and arrangement, are owned by CNA, and are protected in all forms by intellectual property laws including, without limitation, copyright, trademark, trade secret, and any other proprietary rights.

Subject to the additional rules set out below, CNA authorizes you to view or download a single copy of the Content or any item of the Content solely for your personal, non-commercial use provided you include the following copyright notice: "Copyright © [insert current year], Canadian Nurses Association, M209 -1554 Carling Ave, Ottawa ON K1Z 7M4 Canada. All rights reserved" as well as any other copyright and proprietary rights notices included within the Content. Any special rules for the use of certain software and other items provided on the CNA Sites may be included elsewhere within the Sites and are incorporated into these Terms and Conditions by reference.

Canadian Nurses Association, CNA and all related names, logos, product and service names, designs, images, and slogans are trademarks of CNA. You must not use such marks without the prior written permission of CNA. Other names, logos, product and service names, designs, images, and slogans mentioned, or which appear on the CNA Sites are the trademarks of their respective owners. Use of any such property, except as expressly authorized, shall constitute an infringement or violation of the rights of the property owner, and may be a violation of federal or other laws and could subject the infringer to legal action.

You may only use the CNA Sites for your personal and non-commercial use. You shall not directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our CNA Sites, in any form or medium whatsoever except:

  1. your computer and browser may temporarily store or cache copies of materials being accessed and viewed;
  2. a reasonable number of copies for personal use only may be printed keeping any proprietary notices thereon, which may only be used for non-commercial and lawful personal use and not for further reproduction, publication, or distribution of any kind on any medium whatsoever;
  3. one single user copy may be downloaded with any proprietary notices intact, for your own personal, non-commercial use, conditional on your agreement to be bound by our end user licence agreement for such downloads.

Users are not permitted to modify copies of any materials from the CNA Sites nor delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site. You must not access or use for any commercial purposes any part of the Website or any services or materials available through the CNA Sites.

If you print off, copy, or download any part of our CNA Sites in breach of these Terms and Conditions, your right to use the CNA Sites will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. You have no right, title, or interest in or to the CNA Sites or to any Content, and all rights not expressly granted are reserved by CNA. Any use of the CNA Sites not expressly permitted by these Terms and Conditions is a breach of these Terms and Conditions and may infringe or violate copyright, trademark, and other intellectual property or other proprietary laws.

VI. Use by For-Profit Companies and Commercial Uses of Content

If you are a for-profit company (including, without limitation, publishers) or an individual intending on selling a work that incorporates Content or an item thereof, subject to your compliance with these Terms, the Conditions of Use, and the payment of the Royalty Fee, CNA hereby grants you a one time only, limited, non-exclusive, non transferable, non-assignable, and revocable license, without the right to grant sublicenses to others, to copy and reproduce an item or items of Content only upon the following conditions:

  1. you must submit the Permission to Redistribute Form which must be completed for each request and for each item of Content you wish to copy or reproduce, separately. Request a form from copyright@cna-aiic.ca;
  2. for each copy or reproduction of a CNA Publication in whole or in part, you agree to pay to CNA in advance of making any such copy or reproduction, a Royalty Fee equal to C$350.00 for each language that you wish to publish;
  3. for any copy or reproduction of Content that represents a small amount or brief passage, such as, for example, a single table, figure or paragraph of a CNA Publication or Content, you agree to pay to CNA in advance of any making any such copy or reproduction, a Royalty Fee equal to C$125.00 for each language that you wish to publish;
  4. if, in addition to a license to copy and reproduce an item or items of Content, you require a license to translate into a language other than English or French, a small amount or brief passage such as, for example, a single table, figure or paragraph of a CNA Publication or Content, you agree to pay to CNA in advance of making any such translation (at your expense), an additional Royalty Fee equal of C$200 per item translated. You must provide the translated item for approval to CNA in advance of its use or publication. If, you do not receive a response from CNA within ten (10) business days from the date the translated item is provided to CNA for verification and approval, CNA shall be deemed to have verified and approved the translated item; and
  5. any copy or reproduction made of Content or item of Content (including any translated item) must be made within the ten-year period following the execution of the Permission to Redistribute Form.

VII. Use by Non-Profit Entities and Nursing Schools

If you are a Non-Profit organization or a Nursing School, subject to your compliance with these Terms and with the Conditions of Use (noted below), CNA hereby grants you a limited, non-exclusive, royalty-free, non transferable, non-assignable, and revocable license, without the right to grant sublicenses to others, to copy and reproduce an item or items of Content.

VIII. Use by Individuals for Non-Commercial Purposes and Students

If you are a student or an individual intending to incorporate Content in a work that will not be sold, subject to your compliance with these Terms, and with the Conditions of Use (noted below), CNA hereby grants you a limited, non-exclusive, non transferable, non-assignable, and revocable license, without the right to grant sublicenses to others, to copy and reproduce an item or items of Content.

IX. Conditions of Use

User is granted a limited, non-exclusive, revocable, non-sublicensable, and non-transferable license to access the CNA Sites according to these Terms and Conditions. If User does not agree to the terms and conditions of these Terms and Conditions, or any amendments, User may not access or use the CNA Sites for any purpose, and shall promptly discontinue such use of the CNA Sites. All licenses granted under these Terms shall be subject to the following Conditions of Use:

  1. You must include the following notice: “© [INSERT CURRENT YEAR] Canadian Nurses Association. Reproduced with permission. Further reproduction is prohibited.”
  2. You may not modify, alter, or otherwise amend any Content or item of Content without the prior written approval of CNA, which consent may be withheld for any reason and at CNA’s absolute discretion. 

X. User Submissions

Any personal data (for example, your name, address, telephone number or e-mail address) you transmit to the CNA Sites by electronic mail or otherwise will be used by CNA in accordance with the CNA Sites' Privacy Policy. All other remarks, suggestions, ideas, graphics, or other information communicated to CNA through or by reason of the CNA Sites will forever be the property of CNA.

You agree that you will not upload or transmit any communications or content of any type that infringe or violate any rights of any party. By submitting communications or content to any part of the CNA Sites, you agree that such submission is non-confidential for all purposes, unless it is personal data. If you make any such submission, you automatically grant or warrant that the owner of such content has expressly granted CNA a royalty-free, perpetual, irrevocable, world-wide nonexclusive licence to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform and display the communication or content in any media or medium, or any form, format or forum now known or hereafter developed. CNA may sublicense its rights through multiple tiers of sublicences.

XI. Advertisements and Links to Other Sites

CNA does not endorse the content on any third-party websites. CNA is not responsible for the content of linked third-party sites, sites framed within the CNA Sites, or third-party advertisements, and does not make any representations regarding their content or accuracy. Your use of third-party websites is at your own risk and subject to the Terms and Conditions of use for such sites. CNA does not endorse any product advertised on the CNA Sites.

XII. No Reliance

Although we make reasonable efforts to update the information on our CNA Sites, we make no representations, warranties, or guarantees, whether express or implied, that the Content is accurate, complete, or up to date. Your use of the CNA Sites is at your own risk and CNA has no responsibility or liability whatsoever for your use of the CNA’s Sites.

The CNA Sites may include content provided by third parties, including from other users and third-party licensors. All statements and/or opinions expressed in any such third-party content, other than the content provided by CNA, are solely the opinions and the responsibility of the person or entity providing those materials. Such materials do not necessarily reflect the opinion of CNA. CNA has no responsibility or liability whatsoever to you, or any third party, for the content or accuracy of any third-party materials.

XIII. Privacy

By submitting your personal information and using the CNA Sites, you consent to the collection, use, reproduction, hosting, transmission, and disclosure of any such user content submissions in compliance with our Privacy Policy, found at https://cna-aiic.ca/en/home/protection-of-personal-information, as we deem necessary for use of the CNA Sites.

XIV. Disclaimers

The CNA Sites and the Content are provided on an "as is" basis. CNA, to the fullest extent permitted by law, disclaims all warranties, either express or implied statutory or otherwise, including but not limited to the implied warranties of merchantability, non-infringement of third parties' rights, and fitness for particular purpose. Specifically, CNA makes no representations or warranties about the accuracy, reliability, completeness, currentness or timeliness of the Content, software, text, graphics, links, or communications provided on or through the use of the CNA Sites or CNA.

XV. Limitation of Liability

EXCEPT WHERE SUCH EXCLUSIONS ARE PROHIBITED BY LAW, UNDER NO CIRCUMSTANCE WILL CNA NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, OR SUCCESSORS BE LIABLE FOR NEGLIGENCE, GROSS NEGLIGENCE, NEGLIGENT MISREPRESENTATION, FUNDAMENTAL BREACH, DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT, BREACH OF CONTRACT, BREACH OF PRIVACY, OR OTHERWISE, EVEN IF THE PARTY WAS ALLEGEDLY ADVISED OR HAD REASON TO KNOW, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OR RELIANCE ON, THE WEBSITE, ANY LINKED WEBSITES OR SUCH OTHER THIRD-PARTY WEBSITES, NOR ANY WEBSITE CONTENT, MATERIALS, POSTING, OR INFORMATION THEREON.

XVI. Indemnity

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless CNA, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms and Conditions or your use of the CNA Sites, including, but not limited to, your user submissions, third-party sites, any use of the CNA’s Site’s Content, services, and products other than as expressly authorized in these Terms and Conditions.

XVII. General

CNA has its head office in Ottawa, Ontario, Canada. CNA makes no claims that the Content is appropriate or may be downloaded outside of Canada. Access to the Content may not be legal by certain persons or in certain countries. If you access the CNA Sites from outside Canada, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. All of these Terms and Conditions survive the expiration or termination of the CNA Sites or of the Terms and Conditions as a part of the CNA Sites for any reason whatsoever.

XVIII. Jurisdiction

You expressly agree that exclusive jurisdiction for any dispute with CNA, or in any way relating to your use of the CNA Sites, resides in the courts of the Province of Ontario and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the province of Ontario in connection with any such dispute including any claim involving CNA, its employees, contractors, officers, directors, telecommunication providers and content providers.

These Terms and Conditions are governed by the laws of the Province of Ontario and the laws of Canada applicable thereto, without respect to conflict of laws principles. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect.

XIX. Severability

If any term or provision of these Terms and Conditions is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms and Conditions or invalidate or render unenforceable such term or provision in any other jurisdiction.

XX. Complete Agreement

Except as expressly provided in a particular "legal notice" on the CNA Sites, these Terms and Conditions constitute the entire agreement between you and CNA with respect to the use of the CNA Sites and Content.
